Table of Contents

A private limited company in India is a business entity registered under the Companies Act, 2013. To start one, you generally need at least two shareholders, two directors, a registered office and the required incorporation documents. Registration takes place online through the Ministry of Corporate Affairs (MCA) using the SPICe+ process.

A private limited company offers a separate legal identity, limited liability for shareholders and a structured ownership model. It is suitable for startups, entrepreneurs and businesses planning to attract private investment.

What Is a Private Limited Company?

A private limited company is a privately held legal entity separate from its shareholders and directors.

Under Section 2(68) of the Companies Act, 2013, its Articles of Association must restrict share transfers, limit membership to 200 subject to statutory exceptions, and prohibit public invitations to subscribe to its securities.

Shareholders of a company limited by shares are generally liable only for the unpaid amount on their shares. The company can own property, enter contracts and conduct business in its own name.

How to Register a Private Limited Company in India

Step 1: Choose the Company Name

Select a unique company name that complies with MCA naming requirements. Check existing company names and relevant trademarks before applying.

Submit the proposed name through SPICe+ Part A.

Step 2: Obtain DSC and DIN

Obtain Digital Signature Certificates for the required signatories.

Proposed first directors who do not already hold Director Identification Numbers (DINs) may apply through the SPICe+ incorporation process, subject to applicable conditions.

Step 3: Prepare MOA and AOA

The MOA defines the company’s fundamental objectives and constitutional details.

The AOA governs internal management, shareholder rights and procedures relating to directors and shares.

Step 4: File SPICe+ Forms

Submit the incorporation application through the MCA portal.

Relevant forms include SPICe+ Part B, e-MOA, e-AOA, INC-9 and AGILE-PRO-S, as applicable.

The integrated process facilitates PAN, TAN and other applicable registrations.

Step 5: Receive the Certificate of Incorporation

The Registrar of Companies reviews the application and supporting documents.

Once approved, the company receives its Certificate of Incorporation and Corporate Identity Number (CIN).

Step 6: Complete Post-Incorporation Requirements

After registration, complete applicable formalities such as opening the company bank account, issuing share certificates, appointing the first auditor and maintaining statutory records.

Companies covered by Section 10A must generally file Form INC-20A within 180 days of incorporation.

Minimum Capital and Registration Cost

There is no general minimum paid-up capital requirement of ₹1 lakh for private limited company registration in India.

Founders can determine their initial capital based on business requirements.

Registration expenses depend on MCA filing fees, state-specific stamp duty, DSC charges, professional assistance and other applicable costs.

The overall amount varies according to the company’s structure and incorporation circumstances.

Benefits of a Private Limited Company

A private limited company offers several advantages:

  • Limited liability for shareholders, subject to applicable law.
  • Separate legal identity.
  • Continuity despite changes in ownership.
  • Opportunities to raise private investment.
  • A defined shareholding and governance structure.
  • Ability to own assets and enter contracts independently.

However, the company must also meet statutory audit, accounting, tax and annual filing obligations.

Private Limited Company vs LLP

A private limited company has shareholders, directors and share capital. It may be suitable for businesses seeking equity investment.

A Limited Liability Partnership (LLP) operates through partners and an LLP agreement. It may suit professional services and businesses seeking a different management and compliance structure.

Both structures offer separate legal identity and limited liability, subject to applicable law.

Legal Compliance After Company Registration

Key compliance obligations generally include:

  • Holding the first Board meeting within 30 days, subject to applicable provisions.
  • Appointing the first auditor within the prescribed period.
  • Filing INC-20A where applicable.
  • Maintaining statutory registers and accounting records.
  • Preparing financial statements and completing applicable annual ROC filings.
  • Complying with income-tax, GST and other relevant laws.

Failure to meet statutory obligations may result in penalties or other legal consequences.
